1.       CGD’s historical performance is admittedly very average, however that is because it is a development company and its revenues/profits are only recognized at the time the condos are transferred. It is also a turn-around story
 
a.        It has a promising project that is 1100 apartment units opposite a regional mall in Bangkok. This is done in 4 stages, of which 3 stages are fully sold, two are built and transferred (hence the recognition of profit in 2014, and another stage will be recognized as profit in this year. These are small condo sizes selling for 2,000 USD per sqm thus is very easy to sell. These units are well leased with a yield exceeding 10% for us. It is low risk and profits can be recognized over the two years.
 
b.      It is launching a DATA center REIT by using its UK data center asset. It will maintain 20% equity in the REIT and continue to purchase/develop data centers for sale into REIT. It can do this once a year and generate sale profits each time it does this to the REIT.
 
Admittedly, the majority of the profits will come in 2018 when we transfer all the finished units of the Four Seasons residences to the respective buyers. It is expected to deliver massive returns and the share price in 2018 should reach new record heights. In the case where there is a PP into the company, obviously this money would be used to invest in high profit generating developments to further enhance the value of the company.
 
2.       For share buy-back clause, we view that this is going to be difficult because it’s a $60m dollar investment and it would be difficult for us to prove the capacity to “at call” provide him with $60m buyback. We are structuring him in a way that he already enters at a reasonable price.
 
a.       Please note that if you were to buy a 5,6 star project anywhere in the world you would expect to buy it at a yield/cap rate of 5%. This is a fully wrapped project ready to go with an expected return of over 100%. With this long term partnership its unlikely that it wont perform well, and the volatility will be complete removed in the price.
