RECRUITMENT AGENCY SERVICES AGREEMENT
This Recruitment Agency Services Agreement (the “Agreement”) made and entered into date _______, 2015 (the “Effective Date”)
BETWEEN:
Mr. Jerry of XinLe Company, having its office at Burgundy Corporate Tower, 252 Sen. Gil J. Puyat Ave, Makati, Metro Manila, Philippines (the “Company”)
AND
Mr. Ryan Chen of R&G Resource Agency, having its address at Island Tower, Salcedo St., Makati Manila, Philippines (the “Agency”)
The “Company” and the “Agency” shall be called individually “party” and collectively the “parties”.
BACKGROUND
The Company is of the opinion that the Agency has experiences, abilities and willingness to provide recruitment services to the Company.
The Agency is agreeable to provide such the Agency’s services to the Company
Based on the Agency's representations and obligations, the Company is willing to receive human resource recruitment services from the Agency on the terms and conditions set out in this Agreement.
1. Scope of Services
The Company hereby agrees to engage the Agency for providing recruitment services to the Company and the Agency hereby agrees to provide recruitment services to the Company
1.1. The Company will provide the job description of the requirement vacancy, before the commencement of any search by the Agency.
1.2. The Agency will initiate the search and scrutinize and recommend the suitable candidates as per the requirements of the Company. The Agency shall also provide the candidate’s Curriculum Vitae as per the requirements to the Company
1.3. The Agency shall do the preliminary interview and also get a basic verification done for the candidates about the job and working environment, before recommending the candidate to the Company.
1.4. The Agency shall do arrangement for the Company interview the candidate via online network
1.5. The Company after doing the interview/ discussion shall provide feedback to the Agency regarding the suitability of the candidate. The feedback could be in the nature of ‘rejected’, ‘keep in view’ or ‘hired’.
1.6. After selection of the candidate, the Company will issue an offer letter in the name of the selected candidate, indicating the salary details, benefits, terms of employment and expected onboard date.
1.7. The Agency shall guide the candidate for air-ticket booking and also do the departure briefing to the candidate clearly
2. Confidentiality
The Agency shall not, during the terms of this Agreement or any time thereafter, disclose, or permit any of their employees, or assignees to disclose, to any candidate the Company name until the candidate have onboard and official sign the contract and join the Company under any reason. It is stipulated by the Company
3. Relationship
In providing the services under this Agreement; it is expressly agreed that both the Agency and the Company is acting as an independent contractors and not as an employee. And this Agreement does not create any joint venture or a partnership between the parties. The Agency cannot assign its right and/ or obligations under this Agreement to any third party without prior written consent and terms of the Company.
4. Performance
The parties agree to do everything necessary to ensure that the terms of this Agreement take effect
5. Obligations of the parties
5.1. If the selected candidate leaves the Company on his own or is terminated by the Company within ninety (90) days of his/ her joining the Company, due to issues relating to inefficiency, fraud, disciplinary breach, unethical conduct, any fault of the candidate, wrong information being supplied or breach of terms and conditions of any Agreement signed between the Company and the candidate, then the Agency have responsibility provide the same profile or candidate of any other profile at the discretion of the Company for the replacement for such candidate without any more payout. In case the replacement made available by the Agency is not satisfactory to the Company, then the Company shall be free to adjust the amount already paid against any amount due to the Agency.
5.2. During the continuance of this Agreement and for a period of one (1) year from the termination of this Agreement, the Agency will not directly or indirectly refer or place the candidature of any existing employee of the Company in any other organization.
5.3. The Agency will never use any false/misleading information relating to the Company for advertisement or other purposes.
6. Payment Terms
6.1. The Agency will be paid salary of every onboard candidate is a month basic salary based on the candidate’s position offering
6.2. The first payment – fifty percent (50%) will be paid by the Company once the candidate sign the contract and join the Company; and the second payment – remaining fifty percent (50%) will be paid when the candidate pass the probation – 3 months period
6.3. All the payments under this Agreement would be made by crossed cheque only.
7. Term
Subject of the compliance of the terms and conditions mentioned in herein above, the Agreement shall stand valid for the period of months, from _________ to ________, and then shall be deemed as terminated.
8. Notices
All notices, requests, demands or other communications are given pursuant to this Agreement shall be in writing and sent to the parties of this Agreement
By signing on this Agreement, the Company and the Agency agree to accept and abide by the terms and conditions of the Agreement.

• Remuneration : optional based on the hired position
• Meals Allowance: : RMB 1000
• Bonus : At the Company’s discretion, performance bonus will be considerable by Management every three (3) months. Official applying when the employee pass their probation
• Working hours : The employee is required to work eight (8) hours per shift for six (6) days a week. Working hours may be shift based to be scheduled by Management.
• Probation Period : The employee would be under probation for a period of three (3) months.
• Annual Leave : Upon confirmation, the employee will be entitled to fifteen (15) days vacation leave in each calendar year.
• Insurance : The Company will be responsible for accident and medical insurance coverage
• Lodging : Lodging will be provided by the Company in apartments. But for the cases would like to stay outside, the employee will have been providing the housing allowance which has already pass the probation period
• Air-ticket : The employee will be paid back when has completed the probation period
Notice: If the employee terminate the employment prior to the completion of a one (1) full year of service; the employee is liable on all the cost incurred in mobilizing from the home country to the Philippine – including the cost of the return air tickets and visa application.
