If at any time during the period from (and including) Financial Close until the earlier until the Final Completion Date, the Shareholder (SDIC in this instance) does not have a long-term credit rating with either S&Ps or Moodys; or has a long term credit rating below BBB+ by S&P and Baa1 by Moody's, then the Shareholder has to provide credit support in the amount of its total base and standby equity commitments (minus contributions which have already been made). Credit support can be a parent company guarantee (provided the parent has the minimum credit rating described above), or bank guarantee/letter of credit from a bank with the minimum credit rating.
