The Opening Date will not occur if

The Opening Date will not occur if there is construction at the Hotel that would materially interfere with Manager’s operation of the Hotel in accordance with this Agreement. If there are minor “punch list” items to be completed (for example, the installation of incidental FF&E or Operating Supplies & Equipment) which do not, in Manager’s reasonable judgment, prevent Manager from operating the Hotel in accordance with this Agreement, then the Opening Date may occur, but Owner will promptly complete these items.
