Payments Due Under the Technical Services Agreement. If Owner has not paid any amounts due to Manager’s Affiliates under the Technical Services Agreement, Owner will pay these amounts before the Opening Date. In addition, Manager may deduct from amounts otherwise to be distributed to Owner after the Opening Date any unpaid amounts plus interest at the Interest Rate from the due date until payment, without affecting Manager’s other rights and remedies under the Hotel Agreements.
